These Terms of Service ("Terms") govern your use of radiantdistrict.com and your interactions with website features provided by Radiant District LLC ("Radiant District," "we," "our," or "us").

By accessing or using this website, you agree to these Terms. If you do not agree with these Terms, you should discontinue use of the website.

1. About Radiant District

Radiant District LLC is an Iowa community event business focused on creating curated community events that connect local businesses, entrepreneurs, vendors, families, community organizations, sponsors, partners, and local supporters.

Information appearing on the website may relate to current events, future opportunities, vendor programs, sponsorships, partnerships, and developing Radiant District initiatives.

2. Website Information

We make reasonable efforts to provide accurate and current information. However, event details may change. Dates, locations, schedules, vendors, sponsors, programming, pricing, availability, event capacity, venue information, and other details may be subject to confirmation or modification.

Unless expressly stated otherwise, website content should not be interpreted as a guarantee that a particular venue, vendor, sponsor, activity, service, attendance level, or program has been finalized.

3. March 6, 2027 Event

Radiant District currently plans to hold the Radiant District Community Vendor Village on March 6, 2027. Final venue information, public event hours, ticket availability, vendor capacity, programming, and operational details will be published or communicated when confirmed.

Radiant District should not be interpreted as guaranteeing any unconfirmed event detail merely because preliminary information appears on the website.

4. Vendor Applications

Submitting a Vendor Application does not guarantee acceptance or participation. Radiant District may evaluate applications based on factors including:

• Event fit
• Vendor category
• Product or service suitability
• Category balance
• Presentation
• Space availability
• Operational requirements
• Equipment requirements
• Family-friendly suitability
• Venue requirements
• Licensing or regulatory requirements
• Other legitimate event-management considerations

Radiant District may approve, conditionally approve, waitlist, decline, or request additional information from applicants. An applicant does not become a confirmed event vendor merely because an application has been submitted or initially approved.

Final vendor participation may require completion of an Event Vendor Participation Agreement, payment, insurance requirements, licenses, permits, tax information, compliance documentation, and final written confirmation.

5. Vendor Program Information

Radiant District may offer different vendor participation options, including Standard Vendor participation and optional paid vendor programs. Program benefits, credits, discounts, eligibility requirements, and event participation rules are governed by the specific written terms applicable to the program.

Membership or program participation does not guarantee acceptance into any particular event.

6. Sponsorships and Partnerships

Radiant District may offer paid sponsorship opportunities as well as unpaid community partnership and in-kind partnership opportunities. A sponsorship is a commercial marketing or promotional relationship and should not be interpreted as a charitable donation unless expressly stated otherwise.

Radiant District LLC is not represented on this website as a nonprofit organization. A Community Partner is not automatically required to purchase a sponsorship. Specific sponsorship benefits are governed by the written sponsorship agreement or proposal applicable to that relationship.

7. Payments

Payments must be made only through official Radiant District business channels or authorized third-party payment processors identified by Radiant District. Users should not send Radiant District payments through personal accounts or unverified third parties.

Prices and payment obligations are determined by the specific transaction, invoice, agreement, event, sponsorship package, vendor opportunity, or service selected.

8. Refunds and Cancellations

Refund and cancellation terms may vary depending on the event, vendor opportunity, sponsorship, service, or transaction. The applicable written refund or cancellation policy provided at or before payment controls that transaction.

Verbal statements do not modify an applicable written refund policy unless confirmed in writing by an authorized Radiant District representative.

9. No Guarantee of Results

Radiant District does not guarantee:

• Attendance
• Customer traffic
• Sales
• Leads
• Revenue
• Profits
• Sponsorship return on investment
• Customer spending
• Business exposure
• Media coverage
• Social-media engagement
• Future business opportunities

Vendors, sponsors, partners, and other businesses participate at their own business discretion and remain responsible for evaluating whether a particular opportunity is appropriate for them.

10. Event Changes

Radiant District may reasonably modify event layouts, schedules, booth assignments, programming, access procedures, event hours, venue arrangements, safety procedures, or other operational details when necessary.

Events may also be affected by circumstances outside Radiant District's reasonable control, including severe weather, emergency conditions, venue availability, utility failures, governmental action, safety concerns, or other significant disruptions. Applicable refund or credit treatment will be governed by the written terms associated with the transaction.

11. Website Use

You agree not to use the website to:

• Violate applicable law
• Submit false or fraudulent information
• Impersonate another person or business
• Attempt unauthorized access to website systems
• Interfere with website functionality
• Introduce malicious software
• Collect information about other users without authorization
• Use Radiant District branding in a misleading manner
• Misrepresent an affiliation, sponsorship, endorsement, or partnership with Radiant District

Radiant District may restrict website access when reasonably necessary to address misuse, fraud, security threats, or violations of these Terms.

12. Intellectual Property

Unless otherwise stated, the Radiant District name, branding, logos, website design elements, original written materials, promotional materials, and other Radiant District-created content are owned by or licensed to Radiant District LLC.

You may not reproduce, modify, sell, commercially exploit, or falsely represent Radiant District intellectual property without authorization. Approved vendors, sponsors, or partners may receive limited permission to use designated Radiant District materials for approved promotional purposes. Such permission does not transfer ownership.

13. User-Submitted Materials

When you voluntarily submit business descriptions, photos, logos, product information, or other materials to Radiant District, you represent that you have the right to provide those materials. Submission of materials for an application does not automatically give Radiant District unrestricted ownership of those materials.

Any broader promotional use should be governed by the applicable application consent, agreement, release, sponsorship agreement, or other written authorization.

14. Third-Party Services

Radiant District may use or link to third-party services such as payment processors, social-media platforms, ticketing services, email providers, website providers, or other technology vendors. Third-party services may be governed by their own terms and privacy policies. Radiant District is not responsible for the independent acts, security, availability, policies, or content of third-party providers.

15. Family-Friendly Events

Some Radiant District events may be marketed as family-friendly. Unless Radiant District expressly announces a separately authorized supervised program, a family-friendly event is not childcare, daycare, overnight supervision, or custodial care. Parents, guardians, and responsible adults remain responsible for children attending with them.

16. Disclaimer of Warranties

To the extent permitted by applicable law, the website and general website information are provided on an "as available" basis. Radiant District does not warrant that the website will always be uninterrupted, error-free, completely secure, or free from technical issues. Nothing in these Terms limits rights that cannot lawfully be limited.

17. Limitation of Liability

To the extent permitted by applicable law, Radiant District will not be liable for indirect, incidental, special, consequential, or speculative business losses arising solely from use of the general website. Specific liability obligations involving vendors, sponsors, event participants, contractors, venues, or other parties should be governed by their applicable written agreements.

18. Privacy

Use of the website is also subject to the Radiant District Privacy Policy. The Privacy Policy explains how Radiant District may collect, use, disclose, and protect information.

19. Electronic Communications

When you provide an email address or other contact information in connection with a business inquiry, application, transaction, or event relationship, you consent to receive communications reasonably necessary to process or manage that interaction. Optional marketing communications may require separate consent.

20. Governing Law

These Terms are intended to be governed by the laws of the State of Iowa, to the extent permitted by applicable law.

21. Severability

If a provision of these Terms is determined to be unenforceable, the remaining provisions should continue to apply to the extent permitted by law.

22. Changes to These Terms

Radiant District may update these Terms periodically. The current version will be posted on radiantdistrict.com with an updated effective date. Changes do not retroactively modify a separately signed contract unless legally permitted and expressly agreed.
